Mr. JanuszSiemieniec does not conduct business competitive to Boryszew S.A., does not participate in any competitive company or civil partnership nor is he a member of the rival company or a member of any other competitive legal person. Mr. JanuszSiemieniechas not been entered in the Register of Insolvent Debtors maintained pursuant to the Legal Act of the National Court Registry.

Mr. Mirosław Kutnik has graduated the Mikołaj Kopernik University in Toruń, Faculty of Law.
In 1994 he was entered on the list of legal advisers under the no TR-467 in the Regional Chamber of Legal Advisers in Toruń.
In the years 1995 – 2005 Mr. Mirosław Kutnik run in Toruń Chamber of Legal Adviser and since 2005 he has been a managing Partner in chamber of legal advisers “Kutnik, Kalinowski and Partners” in Toruń.
Since 2005 Mr. Kutnik has been Adviser of the President of Conference of Polish Employers for supporting of employment of disabled people. He is also an expert of Triple Commission as far as the change of the Act of Parliament on professional rehabilitation and employment of disabled people is concerned.
Since 2002 Mr. Mirosław Kutnik has been a member of supervisory boards of public companies.
Mr. Kutnik specializes in tax, constitution and public aid law. He was also a proxy in many cases before Constitution Court.
Mr. Mirosław Kutnik neither curries a competitive activity towards Boryszew S.A. nor is entered in the Debts Registry curried upon the Article of National Court Register.

Mrs. Małgorzata Waldowska has graduated from Mikołaj Kopernik University in Toruń, faculty of Law and Administration.
Since 2007 she has been a President of the Management Board of Taleja Sp. z o.o. and since 2012 she has been a President of the Management Board of Przedsiębiorstwo Badań Geofizycznych
Sp. z o.o. with the seat in Warsaw. During last years she has taken periodically posts of the Management Board’s President of NFI Krezus S.A. and Nova Capital Sp. z o.o., she also was
a member of the Supervisory Board of NPA Skawina Sp. z o.o.
Currently Mrs. Małgorzata Waldowska is a member of the Supervisory Boards in: Hutmen S.A., Krezus S.A. and Skotan S.A.

Mrs. Małgorzata Waldowska does not conduct business competitive to Boryszew S.A., does not participate in any competitive company or civil partnership nor is she a member of the rival company or a member of any other competitive legal person. Mrs. Małgorzata Krauze has not been entered in the Register of Insolvent Debtors maintained pursuant to the Legal Act of the National Court Registry.

Since June 5th, 2006 a member of the Supervisory Board of Impexmetal S.A. Since June 30th, 2006 till now he has taken a chair of Chairman of the Supervisory Board.
Mr. Arkadiusz Krężel has graduated Silesian Technical High School in Gliwice with the degree of engineer electrician, specialty – automatization and electrification of mining.

1981 – 1992 Pit-coal mining “Kazimierz-Juliusz” in Sosnowiec.

Mr Jarosław Antosik has higher education. He is a graduate of the SGH Warsaw School of
Economics, Finance and Banking University (1997). He has obtained a postgraduate diploma at the French Institute of Management and has been awarded the International Management Diploma. Mr
Jarosław Antosik also received a doctoral degree at the School of Law and Administration of the University of Łódź in 2008. In 1997, Mr Jarosław Antosik began to work at the tax department of Arthur
Andersen Sp. z o.o. and obtained a tax advisor certificate in 2002.

Between 2002 and 2005, Mr Jarosław Antosik was employed at the tax department of Ernst & Young
Sp. z o.o. He is currently a Partner in Accreo Sp. z o.o., where he also holds the position of a Member of the Management Board. Mr Jarosław Antosik is a holder of the Certificate of English for Business awarded by the London Chamber of Commerce and Industry and the Certificate of Russian for Business awarded by the Pushkin Institute and the Russian Chamber of Commerce and Industry. Since 2009, Mr Jarosław Antosik has been a Member of the Supervisory Board of Alchemia S.A.

As he declared in his representation, Mr Jarosław Antosik is not conducting business competitive with the Company nor is he a stockholder of any competitive company as a partner in a private partnership, partnership or as a member of any body of a competitive company or as a member of a body of any
competitive legal person, and is not entered into the Insolvent Debtors Register kept pursuant to the provisions of the National Court Register Act of 20 August 1997.
