15/2016 2016-04-18 Establishing registered pledges on shares

The Management Board of Boryszew S.A. (Company) informs that subsidiary SPV Boryszew 3 Sp. z o.o. has got 2 decisions from the Regional Court of Warsaw in Warsaw, XI Economic Section of the Pledge Registry on establishing on 9 and 12 April 2016 a register pledge of securities being in a public turnover.
The subject of the pledge have been totally 1,321,475 units of Hutmen’s shares, belonging to SPV Boryszew 3 Sp. z o.o.
The pledge has been established for PKO BP S.A. with the seat in Warsaw to the highest collateral value of PLN 179,000,000 in order to secure the Bank’s cash receivables due to the Agreement no 37 1020 1026 0000 1002 0180 2719 concluded with Boryszew S.A. on 27 December 2006 with further changes, regarding credit in form of the multipurpose line credit, with the limit amount of PLN 89,750,000.00.
The nominal value of 1,321,475 units of Hutmen’s shares, being the subject of the a/m pledge, amounts to PLN 13,214,750.00 and their balance value in the accounting books of SPV Boryszew 3 Sp. z o.o. as at 31 march 2016 amounts to PLN 8.1 million.
The above mentioned shares amounts to 5.15 % of the share capital of Hutmen S.A. and are equal to 5.16 % of votes at the General Meeting.
There are no affiliations between SPV Boryszew 3 Sp. z o.o. and its management and PKO BP S.A. with the seat in Warsaw and its management.
Criterion for the base of recognizing assets as assets of great value - the value of pledge on shares exceeds the equivalence of EUR 1.0 m.
