Contents of the report:
The Management Board of Boryszew S.A. (“Issuer”), in reference to the information provided in Current Report No. 47/2019 of November 28, 2019, informs that on September 23, 2020 it was informed that the European Commission (“Commission”) had made a decision not to notify objection to the notified concentration consisting in taking over by Gränges AB control over Impexmetal S.A. and its compatibility with the common market. The said Commission decision was issued pursuant to Art. 6 sec. 1 b) Council Regulation (EC) No. 139/2004 of January 20, 2004 on the control of concentrations between undertakings (the merger control regulation) (Journal of Laws of the EU. L No. 24, p. 1).
Obtaining the consent of the antimonopoly authorities was one of the conditions precedent of the agreement concerning the acquisition by Gränges AB of 100% of the shares of Impexmetal S.A. (“Agreement”).
The Issuer will inform about the fulfilment of the remaining conditions precedent of the Agreement in the form of separate reports.
