The Management Board of Boryszew S.A. (“Issuer”), in reference to the current reports No. 25/2022 of 25 May 2022 and No. 44/2022 of 30 September 2022 concerning the sale to Instytut Techniczny Wojsk Lotniczych with registered office in Warsaw (“ITWL”) of shares in Nylonbor Spółka z o.o. with registered office in Sochaczew (“Nylonbor”), advises that on 28 December 2022 the Issuer and ITWL signed a final sale agreement transferring 194 800 Nylonbor shares, accounting for 100.00% of Nylonbor’s share capital and carrying 100% of votes at the shareholders’ meeting, to ITWL, based in Warsaw, for PLN 19.9 million. Ownership of the shares will pass to the Buyer on 29.12.2022, upon payment of the price.
Terms and conditions of the agreement do not deviate from those customarily applied in case of similar agreement.
