80/2014 – Settlement of Hutmen’s shares’ purchase

In connection with the current report no 75/2014 of 15 November 2014 the Management Board of Boryszew S.A. with the seat in Warsaw (the Company) informs that today a settlement of call announced on 25 September 2014 on Hutmen’s shares’ purchase has been done.
SPV Boryszew 3 Sp. z o.o. has purchased (after verification of signatures) 4,670,254 Hutmen’s shares, which constitutes 18.24 % of the Company’s shares and entitles to 18.24 % of votes on the General Meeting.

Before the change possession in connection with purchase of Hutmen’s shares due to the call, Boryszew S.A. possessed:
– indirectly through Impexmetal S.A. – 4,146,355 units of Hutmen’s shares, which constituted 16.20% of the Company’s sharess and entitled to 16.20 % of votes on the General Meeting.
– indirectly through Impex-Invest Sp. z o.o. (Boryszew’s indirect subsidiary) 12,550,000 units of Hutmen’s shares, which constituted 49.03 % of the Company’s shares and entitled to 49.03 % of votes on the General Meeting.
Totally Boryszew S.A. together with parent entity and subsidiaries possessed 16,726,855 (say: sixteen milion seven hundred twenty six thousand eight hundred fifty five) units of Hutmen’s shares, which constituted 65.35 % of the Company’s shares and entitled to 65.35 % of votes on the General Meeting.

As a result of settlement of the above mentioned call Boryszew S.A. currently has possessed:
– indirectly through SPV Boryszew 3 Sp. z o.o. – 4,670,254 units of Hutmen’s shares, which constitutes 18.24 % of the Company’s shares and entitles to 18.24 % of votes on the General Meeting.
– indirectly through Impexmetal S.A. – 4,146,355 units of Hutmen’s shares, which constitutes 16.20 % of the Company’s shares and entitles to 16.20 % of votes on the General Meeting.
– indirectly through Impex-Invest Sp. z o.o. (Boryszew’s indirect subsidiary) 12,550,000 units of Hutmen’s shares, which constitutes 49.03 % of the Company’s shares and entitles to 49.03 % of votes on the General Meeting.

Totally Boryszew S.A. together with parent entity and subsidiaries possesses 21,397,109 (say: twenty one milion three hundred ninety seven thousand one hundred nine) units of Hutmen’s shares, which constitutes 83.59 % of the Company’s shares and entitles to 83.59 % of votes on the General Meeting.
Boryszew S.A., SPV Boryszew 3 Sp. z o.o., Impexmetal S.A. and Impex – Invest Sp. z o.o. are included in the Boryszew Capital Group and are holdings entities – according to art. 87 passage 4 point 4 of the Act.
