The Management Board of Boryszew S.A. informs that on 7 November 2013 it concluded with its subsidiary Boryszew Kunststofftechnik Deutschland GmbH (BKD) withb the seat in Gardelegen (Germany) a purchase agreement of 100 % of shares of the company AKT plastikářská technologie Čechy, spol. s r. o with the seat in Jablonec/Nysa.
The value of the agreement amounts to EUR 13.34 million.
BKD is a Boryszew S.A.’s indirect subsidiary. The Management Board’s member of Boryszew S.A., Mr. Paweł Surówka is the Managing Director of BKD.
The Management Board of Boryszew S.A. informs additionally that it has got information from its subsidiary – Impexmetal S.A. – on purchase from the company Willerby Limited with the seat in Cyprusof 9,610,000 shares of the company Alchemia S.A. with the seat in Warsaw for the toral amount of PLN 50,933.000.
There are no holdings between the issuer and managerial or supervising persons of the issuer and the company Willerby Limitedb and its managerial stuff.
As the value of the concluded agreements exceeds the limit of 10 % of Boryszew S.A.’ equity capitals, the above mentioned event has been considered as purchase/disposal of assets of significant value.
