Boryszew S.A. with its registered office in Warsaw (the ‘Company’, ‘Issuer’) announces that on May 25, 2026, the Annual General Meeting of the Company appointed Mr Łukasz Gołębiewski to the Company’s Supervisory Board.
Below the Company provides information on Mr Łukasz Gołębiewski education, qualifications and previously held positions, together with a description of his professional career.
Mr. Łukasz Gołębiewski earned a Master of Science (MSc) degree in Economics with distinction from the London School of Economics, United Kingdom.
Since 2020, he has been a co-founder and partner at the private equity fund Capmont.
From 2011 to 2026, he was associated with the global investment fund Advent International.
Between 2010 and 2011, he served as a Vice President at StepStone Group, and prior to that, from 2007 to 2010, he worked at Citi Private Equity.
From 2005 to 2007, he held the position of Senior Associate at Citi M&A – TMT and Lev Fin.
Mr. Łukasz Gołębiewski also serves as a member of the supervisory boards of numerous companies, including Rockfin Sp. z o.o., Tutore Sp. z o.o., Bioelektra S.A., and the publicly listed company NANOGROUP S.A.
According to the statement submitted by Mr Łukasz Gołębiewski he is not engaged in any activity competitive to the Issuer, nor is he a partner in a competitive partnership or civil partnership, nor is he a member of a body of a competitive company or any other competitive legal entity. In addition, he is not listed in the Register of Insolvent Debtors, maintained under the National Court Register Act.
Also, Mr Łukasz Gołębiewski submitted a declaration of independence, as defined in § 13 (5) of the Company’s Articles of Association and Appendix II to the European Commission Recommendation of February 15, 2005 concerning the role of non-executive directors or members of supervisory boards of listed companies and commissions of (supervisory) boards.
