Management Board of Boryszew S.A. (“Company, Issuer”) informs that on February 1, 2023 it received information that on January 31, 2023, the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register entered in Register of Entrepreneurs the merger of Boryszew S.A. based in Warsaw (as the Acquiring Company) with Hutmen Spółka z o.o. based in Wrocław.
The merger took place in accordance with art. 492 § 1 item 1 CCC, i.e. by transferring all assets of the Hutmen Spółka z o.o.. to the Acquiring Company – in accordance with Resolution No. 4 of the Extraordinary General Meeting of Boryszew S.A. of December 19, 2022 regarding the merger of Boryszew SA (as the Acquiring Company) and Hutmen Spółka z o.o. (Acquired Company) and on the terms specified in the adopted Merger Plan.
The Acquiring Company operates under the company: Boryszew S.A. with its registered office in Warsaw, 00-807 Warszawa, Aleje Jerozolimskie 92.
