The Management Board of Boryszew S.A. informs that on July 23rd, 2009 the Company got the decision from the Regional Court of Warsaw in Warsaw, XI Economic Section of the Pledge Registry informing about an entry on July 14th, 2009 to the register of securities being in the stock-exchange turnover. The subject of the pledge are 4,223,284 bearer’s shares of Impexmetal S.A. belonging to Boryszew S.A. The pledge has been a security of the receivables of Bank Millennium S.A. with the seat in Warsaw upon mid – term credit including the main receivable in the amount of PLN 30,527.5 th.
The nominal value of shares being the subject of pledge amounts to PLN 1,689.3 th and their balance value in the books of Boryszew S.A. on March 31st, 2009 amounts to PLN 9,502.4 th.
The above mentioned shares constitute 1.98% of the initial capital of Impexmetal S.A. and give 1.98 % of votes at GM.
There are no connections between Boryszew S.A. and its managers or supervisors and Bank Millennium S.A. and its managers.
Impexmetal’s shares are treated by Boryszew S.A. as significant assets according to the par. 2.1.45) of the Regulation of Minister of Finance of February 19th, 2009 on current and periodic information to be published by issuers of securities (“Regulation”) as Boryszew S.A. has got the block of shares of Impexmetal S.A. constituting 52.59% of its initial capital and giving 52.59 % of votes in the company. The value of shares being the subject of pledge, in the day of this information, was higher that EUR 1.0 mln (par. 5.1. of the Regulation).
