The Management Board of Boryszew S.A. informs that the Company got the decision from the Regional Court of Warsaw in Warsaw, XI Economic Section of the Pledge Registry informing about two entries to the register of securities being in the stock-exchange turnover.
1. The subject of the pledge established on August 3rd, 2009 are 1,018,099 pieces of bearer’s shares of Impexmetal S.A. belonging to Boryszew S.A. The pledge has been a security of the receivables of BRE Bank S.A. with the seat in Warsaw for turnover credit in the amount of PLN 1,000,000.00 including the main receivable in the amount of PLN 1,200,000.00. The nominal value of shares being the subject of pledge amounts to PLN 407,239.60 and their balance value in the books of Boryszew S.A. as of March 31st, 2009 amounts to PLN 2,290,722.75. The above mentioned shares constitute 0.48% of the initial capital and give to Boryszew S.A. 0.48 % of votes at GM.
2. The subject of the pledge established on August 4th, 2009 are 1,628,959 pieces of bearer’s shares of Impexmetal S.A. belonging to Boryszew S.A. The pledge has been a security of the receivables of BRE Bank S.A. with the seat in Warsaw resulting from the credit agreement in current account in the amount of PLN 2,000,000.00 including the main receivable in the amount of PLN 2,400,000.00. The nominal value of shares being the subject of pledge amounts to PLN 651,583.60 and their balance value in the books of Boryszew S.A. as of March 31st, 2009 amounts to PLN 3,665,157.75. The above mentioned shares constitute 0.76% of the initial capital and give to Boryszew S.A. 0.76 % of votes at GM.
There are no connections between Boryszew S.A. and its managers or supervisors and BRE Bank S.A. and its managers.
Impexmetal’s shares are treated for Boryszew S.A. as significant assets according to the par. 2.1.45) of the Regulation of Minister of Finance of February 19th, 2009 on current and periodic information to be published by issuers of securities (“Regulation”) as Boryszew S.A. has got the block of shares of Impexmetal S.A. constituting 52.59% of its initial capital and giving 52.59 % of votes in the company. The value of shares being the subject of pledge, in the day of this information, was higher that EUR 1.0 mln (par. 5.1. of the Regulation).
