The Management Board of Boryszew S.A. (“The Issuer”) notifies that on July 17th 2019, the entity conducting brokerage activity, indicated by the Issuer, acting under art. 82 para. 5 of the act dated July 29th, 2005 on public offer and the conditions for introducing financial instruments into an organized trading system and on public companies (unified text Journal of Laws of 2019, item 623) (“the Act on Offer”) submitted to the Financial Supervision Authority and the Stock Exchange in Warsaw S.A. Documentation connected with Impexmetal S.A. and the Issuer’s intent to purchase the shares of Impexmetal S.A. (“Impexmetal”) belonging to all the remaining shareholders of Impexmetal by way of squeeze-out.
In accordance with the submitted documentation, the subject matter of the squeeze-out of the Impexmetal shares are to be all the Impexmetal shares which are not in possession of the parties to the agreement mentioned in art. 87 para. 1 pt. 5 of the Act on Offer, about the conclusion of which the Issuer notified in the Current report no. 23/2019 dated May 16th, 2019 i.e. The Issuer, Impexmetal S.A. and SPV Boryszew 3 Sp. z o.o. (“the Agreement”); i.e. a total of 10,700,617 Impexmetal shares, constituting after rounding it up 5.63% of the share capital of Impexmetal, entitling them to execute 10,700,617 votes, constituting after rounding it up 5.63% of the total number of votes at the General Assembly of Impexmetal.
The information about the Issuer’s intent to conduct, together with the parties to the Agreement, the squeeze out procedure of all the remaining shares of Impexmetal owned by minority stockholders, was included in the Issuer’s Current report no. 23/2019 dated May 16th, 2019.
At the same time, the Issuer shall inform about announcing squeeze-out connected with the request to redeem Impexmetal shares in the above-mentioned scope in a separate current report.
