The Management Board of Boryszew S.A with its registered seat in Warsaw (“the Company”), notifies that on August 12th, 2019 they undertook information that the District Court for the Capital City of Warsaw in Warsaw, 13th Economic Department of the National Court Register (KRS) made a change record in the Company’s Articles of Association under resolution no. 24 of the Ordinary Shareholders’ Assembly of Boryszew S.A. Dated June 25th, 2019 in the following manner:
1) § 6a is deleted,
2) in § 13 the current para. 10 is marked as para. 9.
3) in § 13 para. 10 is added, having the following contents: “Purchase or sales of property or share in a property or a right of perpetual usufruct does not require a resolution by the General Assembly.”,
4) § 17 is deleted,
5) the current § 18 is marked as para. § 17.
The consolidated text of the Company’s Articles of Association, taking onto consideration the above-mentioned amendments, constitutes an appendix to the present report.

The legal basis: Art. 56 para. 1 pt. 2 of the Act on offer – current and periodical information.
The detailed legal basis: § 6 in connection with § 5 pt. 1 of the Regulation of the Minister of Finance dated March 29th on current and periodical information provided by issuers of securities and conditions for recognizing as equivalent information required by the provisions of the law applicable in a non-member state.
