With reference to the information in the report for Q3 ‘2025 regarding the ongoing works on the sale of the property in Alchemia S.A. branches and the current report No. 2/2026 of 20 January 2026 regarding the conclusion of the preliminary agreement on the sale of the property by the subsidiary company, the Management Board of Boryszew S.A. (“Company”, “Issuer”) advises that on 2 March 2026 the Management Board of Alchemia S.A., a subsidiary based in Warsaw (“Alchemia”) concluded final agreement to sell the right of perpetual usufruct of movables and real estates, surface area approximately 25.7 ha located in Zawadzkie, property of Walcownia Rur Andrzej Branch, for the total net price of PLN 43.0 million.
The right of perpetual usufruct of the real estate along with the ownership of the buildings located on it is transferred to the purchaser as of the date of entries in the land and mortgage registers, with such entries having retroactive effect from the date of conclusion of the final agreement. Handover of the property to the buyer will take place by a handover protocol on or before 9 March 2026.
As for the rest, the aforementioned sale agreement contains provisions commonly used for this type of contract.
