In respect of current report no. 44/2016 dated 7 July, 2016, the Management Board of Boryszew S.A.
(“Issuer”) announces that on 10 October 2016, on the brokerage account has been transferred
ownership 5,618,412 units of shares of Boryszew S.A., which constitutes 2,34% of equity of Issuer,
giving right to 5,618,412 votes at the GM of Boryszew S.A., which are equal to 2.34% of the total
number of votes at the GM.
The transfer of ownership of the Issuer's shares was effected entitled Tensho Electric Industries Co.
Ltd. (Tensho) to the put option, acquired on 17 June 2014 Issuer's shares in exchange for debt to
Boryszew Tensho Poland Sp. o.o., in respect of the loan in the amount of 7.25 million euros, of which
the Issuer informed in the current report no. 34/2014.
On 10 October, 2016 Boryszew S.A. holds directly and indirectly 21,618,412 units of own shares,
which constitutes 9.01% of the share capital, giving right to 21,618,412 votes at the GM of Boryszew
S.A., which are equal to 9.01 % the total number of votes, including:
Boryszew S.A. holds 7,830,000 units of shares, which constitutes 3.26% of equity and 7,830,000
votes at the GM, which are equal to 3.26% of the total number of votes at the GM,
Impexmetal S.A. holds 11,618,412 units of shares, which constitutes 4.84% of equity and
11,618,412 votes at the GM, which are equal to 4.84% of the total number of votes at the GM,
SPV Boryszew 3 Sp. z o.o. holds 2,165,000 units of shares, which constitutes 0.90% of equity and
2,165,000 votes at the GM, which are equal to 0.90% of the total number of votes at the GM,
Polski Cynk Sp. z o.o. holds 5,000 units of shares, which constitutes 0.002% of equity and 5,000
votes at the GM, which are equal to 0.002% of the total number of votes at the GM.
