The Management Board of Boryszew S.A. informs that on December 30th, 2009 the Company got the decision of the Regional Court of Warsaw in Warsaw, XI Economic Section of the Pledge Registry informing about an entry on December 21st, 2009 to the register of securities being in the stock-exchange turnover. The subject of the pledge are 7 500 000 pieces of bearer’s shares of Impexmetal S.A. belonging to Boryszew S.A. The pledge has been a security of the receivables of Bank PKO BP S.A. with the seat in Warsaw upon the credit agreement on the current account in the amount of PLN 20,000.00 th.
The nominal value of shares being the subject of pledge amounts to PLN 3,000.0 th and their balance value in the books of Boryszew S.A. on September 30th, 2009 amounts to PLN 16,875.0 th.
The above mentioned shares constitute 3.51 % of the initial capital of Impexmetal S.A. and give 3.51 % of votes at GM.
There are no connections between Boryszew S.A. and its managers or supervisors and Bank PKO BP S.A. and its managers.
Impexmetal’s shares are treated by Boryszew S.A. as significant assets according to the par. 2.1.45) of the Regulation of Minister of Finance of February 19th, 2009 on current and periodic information to be published by issuers of securities (“Regulation”) as Boryszew S.A. has got the block of shares of Impexmetal S.A. constituting 53.71% of its initial capital and giving 53.71 % of votes in the company. The value of shares being the subject of pledge, in the day of this information, was higher that EUR 1.0 m (par. 5.1. of the Regulation).
