Boryszew SA informs that on 19 December 2012 the Regional Court in Warsaw, XIV Commercuial Department of the National Court Registry made an entry in the National Court Registry – Registry of Entrepreneurs on the merger of Boryszew S.A. with the seat in Sochaczew with Nowoczesne Produkty Aluminiowe Skawina S.A. with the seat in Skawina.
The mentioned merger has been executed according to art. 492 article 1 point 1 of the Commercial Companies Code by transfer of the whole assets of Taken-over Company (Nowoczesne Produkty Aluminiowe Skawina S.A.) on the Taking-over Company (Boryszew S.A.). – according to the Resolution no. 4 of the Extraordinary General Meeting of Boryszew S.A. of 18 November 2012 regarding the merger of Boryszew S.A. with the with Nowoczesne Produkty Aluminiowe Skawina S.A.
As the Taking-over Company owns 100% of shares of the Taken-over Company Code the merger has been executed in simplified procedure (according to the article 515 art. 1 of the Commercial Companies Code) – i.e. without the increasing of the share capital and without the change of shares.

Boryszew S.A. with the seat in Sochaczew (96-500), 105, 15 Sierpnia Street, registered in the National Court Registry for Regional Court for Warsaw, XIV Commercial Division of the National Court Registry under the no. 00000063824.
Boryszew S.A. as the parent company in the Boryszew Capital Group, takes the managerial and supervisory role towards the companies of the Boryszew Capital Group.
The basic activity of the Head Office in Warsaw is management of the Capital Group with main purpose to growth of its value in long-term.
Boryszew S.A. runs also the production activity through:
• Branch Office Maflow in Tychy – producer of cables for automotive, mainly air-conditioned, power stirring and rubber cables of different use,
• Branch Office Elana in Toruń – producer of, among others: continuous filaments and staple fibres,
• Branch Office YMOS in Kędzierzyn-Koźle – main field of activity is pressure foundry of zinc and aluminium alloys.
Nowoczesne Produkty Aluminiowe Skawina S.A. with the seat in Skawina, (32-050), 23 Piłsudskiego Street, registered in the National Court Registry for Regional Court fir Cracow – Śródmieście, XI Commercial Division of the National Court Registry under the no. 0000376170.
The basic activity of Nowoczesne Produkty Aluminiowe Skawina S.A. is the production of aluminium wire rod, wires and cables of special aluminium alloy, which eliminate the danger of “black-out” occurrences, as well as supply of energy for the external users.
NPA Skawina S.A, is one of the largest producers of wire rod, wire and aluminium conductors in Poland.
