The Management Board of Boryszew S.A. informs, in connection with the current report no 47/2011 of May 24th, 2011 and no 56/2011 of June 29th, 2011 Centermedia Sp. z o.o., 100 % subsidiary of Boryszew S.A. has signed today the purchase agreement on 100 % of shares in the company ICOS GmbH, for the amount of EUR 2.1 m under the condition of getting a positive decision of anti-trust office as far as the concentration is concerned.
Boryszew S.A. practically did not participate in the European market of production of plastic elements in injection technology.
ICOS is a 100 % owner of companies of Theysohn Kunstoff GmbH in Salzgitter and Theysohn Formenbau GmbH in Lagenhagen near Hannover.
Theysohn Kunstoff is a long-term supplier of cars parts produced in injection technology for models of Volkswagen, such as: VW Passat, VW Golf, VW Tiguan, VW Polo, Seat Ibiza and many other. The company specializes in the production of big plastic elements, such as: door elements and chassis casings for personal cars as well as for trucks.
Revenues of Theysohn Kunstoff in 2010 amounted to EUR 48 m.
Theysohn Formenbau is a recognized producer of forms in injection technology, mainly for the car and packaging industries. Revenues of Theysohn Formenbau in 2010 amounted to EUR 11 m.
Having possessed specialized technology back-up in Germany, in the neighbourhood of the works of Volkswagen in Wolsburg will make it easier to Boryszew S.A. to further expansion on the automotive markets, especially with the cooperation of the German cars producers.
