The Management Board of Boryszew S.A. (Company) informs that the Company received on
7 November, 2014 the decision dated 3 November, 2014 from the Regional Court of Warsaw
in Warsaw, XI Economic Section of the Pledge Registry on establishing a register pledge on share
of AKT plastikarska technologie Cechy spol. s.r.o with the seat in Jablonec /Nysa, being the property of Boryszew S.A. The pledge burden share constitutes 100 % of the share capital of the Company AKT plastikarska technologie Cechy spol. s.r.o of the nominal value of CZK 7,000,000 and entitle to 100 % of the total number of votes at the General Meeting.
The pledge has been established to the highest collateral value of EUR 13,000,000 (equivalent of PLN 54,871,700.00 according to the average rate of National Bank of Poland on 3 November 2014) in order to secure the payment of receivables purchased by Impexmetal S.A. from Boryszew S.A. of the total value as at the day of establishing of the registered pledge of EUR 9,643,497.12 (equivalent of PLN 40,704,236.99 according to the average rate of National Bank of Poland on 3 November, 2014) with the maturity date on 30 September, 2015.
The registered value of the share, on which the above mentioned collateral has been established, amounts in the Boryszew’s accounting books to PLN 56.5 million – as at 30 September, 2014.
The Management Board’s members and the Supervisory Board’s members of Boryszew S.A. are as well the Supervisory Board’s members of Impexmetal S.A.
The value of pledge on assets has the bigger value that the equivalent in PLN
Criterion for the base of recognizing assets as assets of great value – the value of pledge on assets exceeds the equivalence of EUR 1.0 m.
