The Management Board of Boryszew S.A,, in connection to the current report no 66/2011 of July 20th, 2011, informs that on September 8th, 2011 it placed a declaration on assuming a joint and several responsibility for the liabilities of subsidiary Centermedia Spółka z o.o. resulting from the purchase agreement of 100 % of shares in the company ICOS GmbH. The liabilities concern guarantees given by the Saler to ICOS GmbH or its subsidiaries.
Due to the above mentioned the last suspending condition included in the agreement of July 20th, 2011 has been fulfilled and from September 8th, 2011 purchased shares have been taken over by Centermedia Spółka z o.o.
ICOS GmbH is a 100 % shareholder of Theysohn Kunstoff GmbH with the seat in Salzgitter and Theysohn Formenbau GmbH with the seat in Lagenhagen near Hannover.
Theysohn Kunstoff is a long-term supplier of cars parts produced in injection technology for models of Volkswagen, such as: VW Passat, VW Golf, VW Tiguan, VW Polo, Seat Ibiza and many other. The company specializes in the production of big plastic elements, such as: door elements and chassis casings for personal cars as well as for trucks.
Revenues of Theysohn Kunstoff in 2010 amounted to EUR 48 m.
Theysohn Formenbau is a recognized producer of forms in injection technology, mainly for the car and packaging industries. Revenues of Theysohn Formenbau in 2010 amounted to EUR 11 m.
The purchase of ICOS GmbH Group is a further step to develop Boryszew S.A. as an international concern of automotive sector.
Boryszew S.A., together with acquised assets of the international AKT Group, will become an important supplier of plasctic elements for VW, Daimler Mercedes and Opel.
