Management Board of Boryszew S.A. informs that on December 1st, 2010 a Commercial Court in Chartres confirmed the offer placed by Boryszew S.A. to take over elements of assets in Maflow France work.
Date of offer realization and entry into possession of Maflow France by Boryszew S.A. will take place at midnight of December 6th, 2010.
Taking over will be executed by appointed by Boryszew S.A., company Maflow France Automotive s.a.s., being in 100 % subsidiary of Boryszew S.A. .
Maflow France SA. consists of and are taken over among others:
– assets,
– intangible and law assets,
– inventories and goods-under-production,
– selected agreements concerning activity of Maflow France SA, binding on the day of signing the agreement,
– other elements, including shares in Maflow DO Brazil Ltda.,
– cession of leasing agreement on real estate.
Both parties have agreed a sale price of Maflow France SA. for EUR 1,800,001.00 and the price of cession of real estate leasing agreement for EUR 1,900,000.00.
Purchasing the French enterprises, Boryszew Group continues the business integration of automotive sector in order to achieve synergy effects on the European scale using its own R and D center.
The above mentioned purchase will allow Boryszew Group to take full advantage of potential of purchased in August 2010 Maflow Polska – works in Tychy and Chełmek, as well as purchased in October 2010 enterprises: Man Servizi and Maflow S.p.A. in Italy and in Spain and companies Maflow Components (Dalian) Co. Ltd. And Maflow DO Brazil Ltda.
