The Management Board of Boryszew S.A. (Company), in connection with the current report no 80/2011 of September 16th, 2011 and no 85/2011 of September 30th, 2011 informs that according to the agreement concerning purchase of assets of WEDO Formenbau und Kunststoffverarbeitung GmbH with the seat in Germany (WEDO) for the amount of almost EUR 2 m, (the Company informed about the agreement in the current report no 90/2011 of October 22nd, 2011) the Company has got today information that the German AntiTrust Office (Bundeskartellamt) issued a positive decision as far as the concentration is concerned. In such connection the suspension condition of the agreement concluded on October 22nd, 2011 has been fulfilled.
According to the above mentioned agreement the following items are included in the purchased assets:
– fixed assets,
– intangible assets with intellectual property,
– current assets,
– agreements with employees,
– contracts.
The planned acquisition will follow on December 1st, 2011.
WEDO is a producer of high quality forms and appliances in injection technology closely integrated with AKT Group enterprisers (purchased by the Company in August 2011) rending services on construction, design services, R&D and production of plastic elements in both automotive sector and outside.
