The Management Board of Boryszew S.A. informs that it has completed the drafts of resolutions to the OGM of Boryszew S.A. called on June 26th, 2009 in the seat in Warsaw, 7/9 Łucka street, published in the current report no 20/2009 on June 17th, 2009 by the resolution on acceptation to dispose the real estates.

Resolution No 18A
Of the OGM of Boryszew S.A. of June 26th, 2009
Regarding: acceptation to dispose the real estate.
§ 1
The agreement is expressed to dispose the right of perpetual use of:
1. real estate located in Godzikowice, the area of Oława, enter in the estates registry as estate no KW 18890 of Ha 3.3 area,
2. real estate located in Ścinawa, the area of Oława, enter in the estates registry as estate no KW 18891of Ha 4.74 area.
§ 2
Final sale conditions of the above mentioned real estates require the acceptation of the Supervisory Board.
§ 3
The resolution is in force from the date of its passing.
JUSTIFICATION
Expressing the agreement by the General Meeting of Boryszew S.A. to dispose real estate located in Toruń unable the Management Board of Boryszew S.A. to curry restructuring Elana Department and the free financial means unable the partly repayment of Company’s credits and buy out of bonds issued by Boryszew S.A. as well as making better the credit ability.
