In connection with the current report no 137/2015 dated 23 November 2015, the Management Board of Boryszew S.A. with the seat in Warsaw (Company), informs that on 30 November 2015 a settlement of a call announced on 2 October 2015 to sell Hutmen’s shares was executed.
As a result of the call SPV Boryszew 3 Spółka z o.o. purchased on 25 November 2015 – 420,903 units of Hutmen’s shares, which constitutes 1.64 % of the company’s shares and 1.64 % of votes at the General Meeting.
As a result of the above mentioned Call the status’s possession of Hutmen’s shares by Boryszew S.A. has been changed. Before the change Boryszew S.A. owned:
directly 22 799 shares of Hutmen S.A., which constituted 0.09% of shares and 0.09% votes at the General Meeting,
indirectly by SPV Boryszew 3 Sp. z o.o. – 4,843,908 shares of Hutmen S.A., which constituted 18.92% of shares and 18.92 % votes at the General Meeting,
indirectly by Impexmetal S.A. – 695,159 shares of Hutmen S.A., which constituted 2.72 % of shares and 2.72 % votes at the General Meeting,
indirectly by Impex – Invest Sp. z o.o. (indirect subsidiary of Boryszew S.A.) – 12,550,000 shares of Hutmen S.A., which constituted 49.03 % of shares and 49.03 % votes at the General Meeting,
indirectly by SPV Impexmetal Sp. z o.o. (indirect subsidiary of Boryszew S.A.) – 3,451,196 shares of Hutmen S.A., which constituted 13.48 % votes at the General Meeting.
Boryszew S.A. owned totally 21,563,062 (say: twenty one million five hundred sixty three thousand sixty two) shares of Hutmen S.A., which constituted 84.24 % of shares and 84.24 % votes at the General Meeting.
Currently, as a result of the above mentioned Call, Boryszew S.A. owns:
directly 22,799 shares of Hutmen S.A., which constitutes 0.09% of shares and 0.09% votes at the General Meeting,
indirectly by SPV Boryszew 3 Sp. z o.o. – 5,264,811 shares of Hutmen S.A., which constitutes 20.57 % of shares and 20.57 % votes at the General Meeting,
indirectly by Impexmetal S.A. – 695,159 shares of Hutmen S.A., which constitutes 2.72 % of shares and 2.72 % votes at the General Meeting,
indirectly by Impex – Invest Sp. z o.o. (indirect subsidiary of Boryszew S.A.) – 12,550,000 shares of Hutmen S.A., which constitutes 49.03 % of shares and 49.03 % votes at the General Meeting,
indirectly by SPV Impexmetal Sp. z o.o. (indirect subsidiary of Boryszew S.A.) – 3,451,196 shares of Hutmen S.A., which constitutes 13.48 % votes at the General Meeting.
Boryszew S.A. with its subsidiaries owns totally 21 983 965 (say: twenty one million nine hundred eighty three thousand nine hundred sixty five) shares of Hutmen S.A., which constitutes 85.89 % of shares and 85.89 % votes at the General Meeting.
Boryszew S.A., SPV Boryszew 2 Sp. z o.o., Impexmetal S.A., SPV Impexmetal Sp. z o.o. and Impex-Invest Sp. z o.o. are included in the Boryszew Capital Group and are affiliated companies due to art. 87, passage 4, point 4 of the Act.
