Contents of the report:
The Management Board of Boryszew S.A. with its registered office in Warsaw (“Company”) informs that on July 14, 2020 the Supervisory Board appointed the Company’s Management Board in its current composition for a new, three-year term (joint term), commencing on the day of the Annual General Meeting approving the Company’s financial statements for 2019 year.
Currently, the Company’s Management Board consists of three members.
The Company’s Supervisory Board has appointed following persons to the Company’s Management Board:
- Mr. Piotr Lisiecki as the President of the Management Board of Boryszew S.A., General Director,
- Mr. Mikołaj Budzanowski as the Member of the Management Board, Development Director,
- Mr. Krzysztof Kołodziejczyk as the Member of the Member of the Management Board, Financial Director.
Biographies of newly appointed members of the Company’s Management Board:
PIOTR LISIECKI – PRESIDENT OF THE MANAGEMENT BOARD
President of the Management Board, General Director of Boryszew S.A. from November 7, 2018.
Mr. Piotr Lisiecki is a graduate of the Nicolaus Copernicus University in Toruń at the Faculty of Physics and Astronomy. He was a scholarship holder of the University of Leeds and completed post-graduate studies at the Poznań University of Economics at the Faculty of Management and Marketing.
In the period from August 1999 to June 2000, as part of his delegation, he worked at AIB Bank in Dublin. From July 1995 to August 2010 he worked at BZ WBK S.A. (formerly WBK S.A.), where he went through a professional path from IT Systems Administrator, Team Manager, Branch Director to the Director of the Enterprise Banking Center. From September 2010 to April 2012 he was the Managing Director in the Department of Corporate Banking Centers Network at Kredyt Bank S.A. From April 2012 to May 2013, he was the Director in the Corporate Clients Department at DZ Bank S.A. From June 2013 to March 2016, Mr. Piotr Lisiecki worked at Bank Ochrony Środowiska S.A. where he was the Managing Director in the Corporate Sales Department and then the Vice President of the Management Board of Bank Ochrony Środowiska S.A.
From June 2016 to November 7, 2018, he was a member of the Supervisory Board of Boryszew S.A. From July 2017 to December 2018, he was the President of the Management Board of Huta Bankowa Spółka z o.o. Mr. Lisiecki is also the President of the Management Board of the subsidiary Alchemia S.A. He is a Member of the Supervisory Boards in the companies of the Capital Group of Boryszew: WM Dziedzice S.A., Hutmen S.A. and Baterpol S.A.
Mr. Piotr Lisiecki does not conduct any competitive activity against the Company, does not participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a body of a capital company and does not participate in another competitive legal person as a member of its body. Mr. Piotr Lisiecki is also not entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
MIKOŁAJ BUDZANOWSKI – MEMBER OF THE MANAGEMENT BOARD
Member of the Management Board, Development Director of Boryszew S.A. from July 26, 2013.
Mr. Mikołaj Budzanowski is a graduate of the Jagiellonian University in Kraków. In 2004 he obtained a doctorate in humanities. He was a student at Stanford Executive Institute, Stanford University (Management Science and Engineering) and a scholarship holder of the Japanese Nippon Foundation, Deutscher Akademischer Austauschdienst (DAAD).
From July 2004 to December 2007, he was an adviser in the Polish delegation to the European Parliament in Brussels. In 2008 he was the Director of the Climate Change Department at the Ministry of the Environment. In 2008-2009 – Director at the Ministry of the Treasury, supervising strategic companies in the oil and gas sector. He was responsible, among others for the preparation of a special act on the construction of the LNG terminal in Świnoujście and associated investments. In the years 2009-2011 he was Deputy Minister of the Treasury. In the years 2011-2013 – Minister of the Treasury, responsible for overseeing strategic companies in the oil and gas sector and diversification projects, including construction of the LNG terminal in Świnoujście, exploration of shale gas and development of infrastructure for the exploitation and transmission of energy resources. Initiator of new energy and mining projects in Poland. Responsible for the integration of the chemical sector around Grupa Azoty. He supervised and finalized the price negotiation process of the Yamal contract in 2012.
Mr. Mikołaj Budzanowski is also the Managing Director of Boryszew ERG branch in Sochaczew.
Mr. Mikołaj Budzanowski does not conduct any competitive activity against the Company, does not participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a body of a capital company and does not participate in another competitive legal person as a member of its body. Mr. Mikołaj Budzanowski is also not entered into the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
KRZYSZTOF KOŁODZIEJCZYK – MEMBER OF THE MANAGEMENT BOARD
Member of the Management Board, Financial Director Boryszew S.A. from September 1, 2019.
Mr. Krzysztof Kołodziejczyk is a graduate of the University of Szczecin at the Faculty of Transport and Communications Economics.
In the years 1997-2012 he worked at CIECH S.A. and in S.C. Uzinele Sodice Govora-Ciech Chemical Group S.A. (Romania). In the years 2012-2016 he was employed at Polimex – Mostostal S.A. In 2016-2018 he was the Financial Director, Vice President of the Management Board of the General Partner in the company Mostostal Siedlce Sp. z o.o. Sp. k. Mr. Krzysztof Kołodziejczyk has held or hold supervisory functions since 2006, including in the companies: Radpol S.A., Soda Polska Ciech Sp. z o.o., PRINŻ-1 Sp. z o.o.
Mr. Kołodziejczyk is a Member of the Management Board in the subsidiary Boryszew Automotive Plastics Sp. z o.o. and the President of the Management Board in the subsidiary Boryszew Commodities Sp. z o.o.
Mr. Krzysztof Kołodziejczyk does not conduct any competitive activity against the Company, does not participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a body of a capital company and does not participate in another competitive legal person as a member of its body. Mr. Krzysztof Kołodziejczyk is also not entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
