Boryszew S.A., having its registered seat in Warsaw, hereinafter referred to as “the Company” or “the Issuer,” hereby informs that on 10 August 2021, Mr. Wojciech Kowalczyk, Chairman of the Company’s Supervisory Board, resigned from his post. In the statement we received from Mr. Wojciech Kowalczyk he mentions no reasons for his decision. Mr. Wojciech Kowalczyk had been appointed by the Supervisory Board to act as interim CEO of the Company, of which it informed in the current report no. 16/2021.
In conformity with §12.1 of its statutes, the Company has adopted a resolution to appoint Mr. Janusz Siemieniec to replace Mr. Wojciech Kowalczyk on the Issuer’s Supervisory Board as of today. In conformity with §12.1 of the Company’s Statutes, appointing members of the Supervisory Board during its term does not require approval of the Extraordinary Shareholders Meeting. In the event of a refusal to approve any of the members of the Supervisory Board appointed during its term, the Shareholders Meeting shall appoint a new member of the Board in lieu of the person who has not been approved.
Furthermore, on 10 August 2021, the Supervisory Board of the Company decided to appoint Mr. Wojciech Kowalczyk a member of the Management Board and the CEO and General Director of the Company.
The following is information about the education, qualifications and posts previously held by Mr. Wojciech Kowalczyk and Janusz Siemieniec, including their employment record.
Mr. Wojciech Kowalczyk is a graduate of the Foreign Trade Faculty of the Central Planning and Statistics School in Warsaw.
Between 1995 and 2001, Mr. Wojcich Kowalczyk worked for Bank Handlowy and was subsequently appointed the Debt Securities Director at Merill Lynch International in London. In 2010, he was appointed the Sales and Financial Markets Director at Bank Gospodarstwa Krajowego. Later that year, he became deputy CEO of the bank. Between 2012 and 2014, he was Deputy Minister of Finance. In 2014 and between 2015-2016, he was Deputy Minister of State Treasury. Between 2014 and 2015, he was Deputy Minister of the Economy and between 2016 and 2017 – Deputy Minister of Energy. Between 2017 and 2020, he worked as Deputy CEO for Capital Investment at PGE Polska Grupa Energetyczna.
On 15 June 2020, the Extraordinary Shareholders Meeting of the Company adopted a resolution to appoint Mr. Wojciech Kowalczyk a member of the Supervisory Board of Boryszew S.A.
On 18 May 2021, the Supervisory Board of Boryszew S.A. appointed Mr. Wojciech Kowalczyk interim CEO of the Company.
Mr. Wojciech Kowalczyk is also a Member of the Supervisory Board of FŁT Polska Spółka z o.o., Zakład Utylizacji Odpadów Spółka z o.o., WM Dziedzice S.A. and Baterpol S.A.
Mr. Wojciech Kowalczyk is not engaged in any activity competitive to that of the Company nor is a partner in a civil law partnership, a partnership, or a member of a body of a capital company or another competitive corporation. He is not listed in the Register of Insolvent Debtors kept in conformity with the National Court Register Act.
Mr. Janusz Siemieniec has graduated from the Electricity Faculty of the Wrocław University of Science and Technology. In addition, he has completed courses and trainings at the French Institute of Management (IGF) in the field of business management and courses and trainings for members of management boards and supervisory boards of commercial law companies, organized by the Ministry of the Treasury.
Between 1981 and 1990, Mr. Janusz Siemieniec worked as a manager of energy and mining companies. Between 1990 and 2000, he was Director of KWK Nowa Ruda in Nowa Ruda, and Chairman of the Supervisory Board of Węglozbyt S.A. Mr. Janusz Siemieniec has also worked as CEO of Spółka Restrukturyzacji Kopalń S.A. in Katowice and was a member of the Supervisory Board of Kopex S.A. from 2000 to 2006. Between 2006 and 2013, he managed investment projects in the renewable energy sector. Between 2014 and 2019, he was Deputy President of the Management Board for Operations of Alchemia S.A. Since 2020, Mr. Janusz Siemieniec has been implementing solar and wind energy projects in cooperation with business partners. Between 2014 and 2019, Mr Janusz Siemieniec was a Member of the Issuer’s Supervisory Board.
Mr. Wojciech Kowalczyk is not engaged in any activity competitive to that of the Company nor is a partner in a civil law partnership, a partnership, or a member of a body of a capital company or another competitive corporation.
