4/2019 – Conclusion by the Company as the guarantor of the loan agreement for the purchase by Impexmetal S.A. Alchemia S.A. as part of the tender offer, on the basis of which Impexmetal S.A. a loan and a guarantee were granted

The Management Board of Boryszew S.A. (“Company”) acting on the basis of art. 17 sec. 1 of MAR Regulation, hereby discloses to the public confidential information on the conclusion by the Company as a guarantor of the loan agreement on the basis of which Impexmetal S.A. a loan and a guarantee were granted.
The Management Board of the Company gives information about the conclusion by the Company as a guarantor, Impexmetal S.A. as a borrower and HSBC Bank PLC with its registered office in London as the creditor (“Bank”) of the loan agreement (“Agreement”) under which the company Impexmetal S.A. were granted: (i) a guarantee of up to PLN 124 million and (ii) a term loan up to PLN 124 million intended to finance the payment of prices purchased by Impexmetal S.A. Alchemia S.A. as part of the call.
The loan referred to above was granted with a four-month repayment date.
In connection with the conclusion of the Agreement, to secure the Bank’s receivables under the Agreement, on January 10, 2019 Impexmetal S.A. concluded with the Bank: (i) an agreement on registered pledges on Alchemia S.A. shares that will be acquired by Impexmetal S.A. as part of the call; and (ii) a registered pledge agreement and financial pledges on Alchemia S.A. shares. belonging to Impexmetal S.A. The maximum amount of collateral from registered pledges has been set at PLN 186 million. Additionally, in order to secure the Bank’s receivables under the Agreement, on 10 January 2019 Impexmetal S.A. concluded with the Bank and Santander Bank Polska S.A. a blockage agreement on a cash account kept for Impexmetal S.A. by Santander Bank Polska S.A. The interest rate has been set at WIBOR (appropriate for the length of the interest period) increased by the Bank’s margin and compulsory costs (if applicable).
The loan agreement was concluded on market terms.
Under the Agreement, the Company granted a guarantee for the obligations of the borrower – Impexmetal S.A. with its registered office in Warsaw, resulting from the Agreement.
