The Management Board of Boryszew S.A. (“Company”, “Issuer”), with reference to current report No. 25/2022 of 25 May 2022 regarding the conclusion of the preliminary agreement on the sale of shares in subsidiary Nylonbor Sp. z o.o., advises that on 1 October 2022, the Company signed an agreement on the transfer of an organised part of Boryszew S.A. i.e. Nylonbor Branch, to Nylonbor Spółka z o.o. in exchange for shares in the increased share capital of Nylonbor Sp. z o.o. The value of the in-kind contribution was set at PLN 19.5 million.
Boryszew S.A. owns 100% of the share capital of Nylonbor Spółka z o.o.
According to the preliminary agreement concluded on 25 May 2022, of which the Issuer advised in the aforementioned current report, Nylonbor Spółka z o.o. is to be sold to the Air Force Institute of Technology for PLN 19.9 million, and the conclusion of this agreement requires the occurrence of a number of organisational and corporate circumstances typical for such agreements, such as obtaining consent of relevant supervisory bodies of AFIT or submission of appropriate representations, which are still pending.
The Issuer will advise in a subsequent report of the conclusion of the sale agreement or, if necessary, of the occurrence of circumstances preventing its conclusion.
