The Management Board of Boryszew S.A. (Company) informs that the Company has got the decision from the Regional Court of Łódź in Łódź, XV Economic Section of the Pledge Registry informing about two entries to the pledges register of securities being in the stock-exchange turnover.
1. The subject of the pledge are 5,000,000 pieces of shares of Impexmetal S.A. belonging to Boryszew S.A. The pledge has been established as a security of the receivables of Kredyt Bank S.A. with the seat in Warsaw as the turnover credit granted to Boryszew S.A. has been increased to the amount of PLN 7.0 m. The nominal value of shares being the subject of pledge amounts to PLN 2.0 m and their balance value in the books of Boryszew S.A. as at September 30th, 2011 amounts to PLN 10.9 m. The above mentioned shares constitute 2.5% of the initial capital of Impexmetal S.A. and give 2.5 % of votes at GM.
There are no connections between Boryszew S.A. and its managers or supervisors and BRE Bank S.A. and its managers.
2. The subject of the pledge are 12,573,100 pieces of shares of Impexmetal S.A. belonging to Boryszew S.A. The pledge has been a security of the receivables of Bank DnB Nord Polska S.A. with the seat in Warsaw as a revolving credit granted to Boryszew S.A. in the amount of PLN 30 m. The nominal value of shares being the subject of pledge amounts to PLN 5 m and their balance value in the books of Boryszew S.A. as at September 30th, 2011 amounts to PLN 27.4 m. The above mentioned shares constitute 6.29 % of the initial capital of Impexmetal S.A. and give 6.29 % of votes at GM. There are no connections between Boryszew S.A. and its managers or supervisors and Bank DnB Nord Polska S.A. and its managers.
Criterion for the base of recognizing assets as assets of great value – the value of shares being the subject of pledge, in the day of this information, exceeds the equivalence of EUR 1.0 m.
