The Management Bard of Boryszew S.A. informs that in connection with the restructuring of indebtedness against Bank PKO BP S.A. executed by Impexmetal S.A. – subsidiary of Boryszew S.A. Both companies concluded an agreement upon which Boryszew S.A. granted a collateral through establishing a register pledge on 7,500,000 shares of Impexmetal S.A. This pledge will concern the repayment of indebtedness of Impexmetal S.A. to PKO BP S.A. upon the credit agreement no 270-1/8/RB/2005 of November 15th, 2005 (with further changes). The pledge will be granted to the amount of PLN 23,500,000.
The above said pledge will be valid till December 31st, 2009 with the possibility of its prolongation.
Upon the pledge Impexmetal S.A. will create blank bill together with a bill declaration to Boryszew S.A. to the amount of the pledge amount.
Impexmetal S.A. will transfer to Boryszew S.A. a monthly remuneration in the height of 0.2 % of the amount counted as a product of shares granted as pledge and average monthly rate of shares of Impexmetal S.A. quoted on the Warsaw Stock Exchange for the said month, but not higher than the pledge amount.
