54/2010 – Taking over of companies in Italy and foreign companies of Maflow Group’ preliminary agreement

Boryszew S.A. informs that on July 26th, 2010 it signed a preliminary agreement with Maflow S.p.A. under Extraordinary Management and with Man Servizi S.r.l under Extraordinary Management on purchase:
– organized enterprise Maflow S.p.A. under Extraordinary Management, consisting of organized enterprise in Ascoli Piceno and Trezzano Sul Naviglio in Italy,
– organized enterprise Man Servizi S.r.l. under Extraordinary Management, consisting of companies in Ascoli Piceno and Trezzano Sul Naviglio in Italy,
– 100 % of initial capital in Maflow Components (Dalian) Co. Ltd. in China,
– 99.9 % of initial capital in Maflow do Brasil Ltda. in Brazil,
– 100 % of initial capital in Maflow Kabushiki Kaisha in Japan.

In the preliminary agreement the following issues have been agreed:
– conditions, on which Boryszew S.A. will purchase the above mentioned assets,
– assigning dates of signing final agreements transferring the property of the above mentioned assets,
– terms of temporarily management till the date of signing the final agreements,
– obligations of parties both till the date of signing the final agreements and after the date.

Signing the above mentioned preliminary agreements on purchase works and foreign companies of Maflow Group and realizing simultaneously purchase of Maflow Polska (current report no 45/2010), Boryszew S.A. has become international concern in automotive sector.

Maflow works in Italy, apart from production of cars cables, have made the management headquarters of the whole international Maflow Group, main research and development center and the key source of semi product in form of highly processed rubber.
Maflow Polska work is the biggest work in the whole Maflow Group as far as the volume of sell of end finished products in form of air-conditioned cables is concerned.
The foreign companies of Maflow Group play the important role in service of global cars producers, which works located on the whole world require close located producers/suppliers just-in-time.
