The Management Board of Boryszew S.A. (“Company”) advises that on 20 March 2023 the Extraordinary General Meeting of Boryszew S.A. appointed Mr Wojciech Zymek to the composition of the Supervisory Board.
Please refer to the information below on the education, qualifications and positions previously held by Mr Wojciech Zymek, along with a description of his professional career.
Mr Wojciech Zymek holds a university degree. He is a graduate of the Faculty of Law and Administration at the Jagiellonian University in Krakow, Poland, majoring in law (2000).
In 2003 he completed his judicial training at the District Court in Katowice and passed the judge’s exam.
In 2005 he completed his legal training at the District Bar Council in Katowice and passed the bar exam.
Since 2007 he has served as a member of the Supervisory Board of Alchemia S.A. in Warsaw.
Since 2013 he has served as a member of the Supervisory Board of Huta Bankowa Sp. z o.o. in Dąbrowa Górnicza.
Since 2016 he has served as a member of the Supervisory Board of Zugil S.A. in Wieluń and as a member of the Supervisory Board of Andoria – Mot Sp. z o.o. in Andrychów.
Mr Wojciech Zymek has been practicing as a trustee since 2004, based on the decision of the President of the District Court in Katowice. In 2010, after passing the exam, based on the decision of the President of the District Court in Katowice, he was licensed as a trustee and practices the profession of restructuring advisor.
Since 2006 he has been practicing as an attorney at the Law Office in Katowice.
According to the statement submitted by Mr Wojciech Zymek he is not engaged in any activity competitive to the Issuer, nor is he a partner in a competitive partnership or civil partnership, nor is he a member of a body of a competitive company or any other competitive legal entity. In addition, he is not listed in the Register of Insolvent Debtors, maintained under the National Court Register Act
Also, Mr Wojciech Zymek submitted a declaration of independence, as defined in § 13 (5) of the Company’s Articles of Association and Appendix II to the European Commission Recommendation of 15 February 2005 concerning the role of non-executive directors or members of supervisory boards of listed companies and commissions of (supervisory) boards.
