The Management Board of Boryszew S.A. informs that subsidiary company – Impexmetal S.A. acting upon the authorization granted by Boryszew S.A. through the Resolution no 4 of the Extraordinary General Meeting of Boryszew S.A. of 13 October 2011 regarding authorization of the Management Board to purchase Boryszew’s treasury shares, as well as upon art. 362 § 1 point 8) and art. 362 § 4 of the commercial companies code, purchased on 20 December 2012 on the Warsaw Stock Exchange 3,736,277 units of Boryszew’s shares at the nominal value of PLN 0.10 each, at the unit price of PLN 0.56 per share.
The above mentioned shares are equal to 3,736,277 votes at the General Meeting of the Company and are equal to 0.17 % of the share capital of the Company.
As a result of the above mentioned transaction, Boryszew S.A. owns directly and undirectly through its subsidiary 109,227,765 units of treasury shares, being equal to 4.84 % of the share capital and giving right to 109,227,765 votes at the GM of the Company.
