The Management Board of Boryszew S.A. with the seat in Warsaw (“Company”) informs that the Company has got today the information about the registration on 27 October 2014 by the Regional Court of Warsaw, XII Economic Department of the National Court Registry (Reference no.: WA XII NS-REJ.KRS/060893/14/955) of the increase of the Company’s share capital from the amount of PLN 220,000,000.00 (say: two hundred twenty million) to the amount of PLN 240,000,000.00 (say: two hundred forty million), i.e. by the amount of PLN 20,000,000.00 (say: twenty million).
The increase of the Company’s share capital has been effected on the basis of the Resolution no 24 of the Ordinary General Meeting of Boryszew S.A. dated 25 June 2014 by the issue of 20,000,000 (say: twenty million) units of Series B ordinary bearer shares, of the nominal value equal to PLN 1.00 (say: one zloty) each.
In connection with the registration of the change of the Company’s share capital, the Company’s Statute has been changed, as follows:
The hitherto existing § 6 art. 1 of the Statute has the following wording:
“Share capital of the Company amounts to PLN 240,000,000.00 (say: two hundred forty million) and is divided into 220,000,000.00 units of Series A bearer ordinary shares of the nominal value of PLN 1.00 and 20,000,000.00 units of Series B ordinary bearer shares of the nominal value equal to PLN 1.00.
Each share stands for one vote.
At the same time the Company informs, that the Court’s decision has included the evident mistake, as follows: in Part 1, column 8, point 3 instead of placing of 240,000,000 units of all shares, it has been placed the amount of 24,000,000 units of all shares.
The Management Board of Boryszew S.A. will apply immediately to the Count to correct the above mentioned evident mistake.
The single wording of the Company’s Statute has been included to this report.
