The Management Board of Boryszew S.A. (“Company”) informs that on January 17, 2019, the Supervisory Board of the Company, acting pursuant to § 12 para. 1 of the Statutes of the Company, adopted a resolution on appointing the Supervisory Board, as of today, Mr. Janusz Wisniewski.
Mr Janusz Wiśniewski was appointed to the Supervisory Board in place of Piotr Lisiecki, who resigned from the Council, about which the Company informed in the current report No. 82/2018 of November 7, 2018.
Information on Mr. Janusz Wiśniewski’s education, qualifications and positions held previously, along with a description of his professional career:
Mr. Janusz Wiśniewski is a graduate of Foreign Trade at the University of Lodz and a scholarship holder at Princeton University – The Graduate School. He completed numerous managerial courses, among others Stanford University Graduate School of Business and University of Chicago Graduate School.
In the years 1990 – 2009 he was successively vice president of the board and commercial director of Zakłady Azotowe in Tarnów – Mościce, vice president and then president of the board of Zakłady Azotowe in Kędzierzyn – Koźle SA, vice president of the board and the president of the board of PKN Orlen SA, partner in Ernst & Young Polska, Business Advisory (oil, gas, chemicals), vice-president of the board of DGA SA He was the chairman of supervisory boards, among others Basell Orlen Polyolefins Sp. o.o, Anwil S.A., ZA Tarnów S.A., Rafineria Trzebinia S.A.
In the years 2004-2008 he was the president of the Association of Engineers and Technicians of the Oil and Gas Industry.
Currently, he runs his own consulting company JWBS, is the Vice President of the Polish Chamber of Commerce and the President of the Polish – Brazilian Chamber of Commerce.
Mr. Janusz Wiśniewski has been a member of the Supervisory Board of Impexmetal S.A. since 18 June 2018.
According to the submitted statement, Mr. Janusz Wiśniewski does not conduct any activity competitive to the Company, as well as does not participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a competitive capital company or a member of the body of any competitive legal entity, as well as is entered in the Register of Insolvent Debtors maintained pursuant to the provisions of the Act of August 20, 1997 on the National Court Register.
At the same time, the Company explains that in accordance with § 12 para. 1 of the StatuteThe Company, the appointment of members of the Supervisory Board during the term of office of the Supervisory Board requires approval by the next General Meeting. In the event of refusal to approve any member of the Supervisory Board appointed during the term of office, the General Meeting will elect a new member of the Supervisory Board in place of the person whose appointment has not been approved.
